Co-working Membership Services Agreement and House Rules
Throughout the website, the terms “we”, “us” and “our” refer to Biztax Corporate Services Pte Ltd (Biztax).
Member Declaration
1. Limited Rights to use of space
I understand that my membership does not constitute a lease but is only a license to use the space.
I understand that no member, including myself, has the rights to a permanent use of any space except under a written agreement with Biztax.
I understand that all amenities provided by Biztax, including but not limited to opening hours, availability of a particular working area, use of the printer, are to be deemed as additional privileges of membership and not included in the cost of membership and is subject to change.
I understand that Biztax will do its best to announce its members in advance of any known changes or disruptions to member access to services provided by Biztax.
2. Closed-Circuit Television
I understand that all premises of Biztax are equipped with CCTV cameras for security reasons and by signing this contract, I acknowledge that I am aware of this and understand that any activities conducted within Biztax will be recorded.
3. Respect for community’s interests
I understand that Biztax operates for the benefit of its community of members and my own membership should not interfere with the interests of the community as a whole.
I agree to ensure that my employees, associates, guests and I will abide by Biztax’s House Rules.
I agree not to maintain or store any inventory of goods in common areas of the premises that have not been expressly designed for such purposes.
I understand that my guests (non-members) have to check-in at the front desk. Guests are only permitted in the meeting rooms.
I understand that I must clean up after myself or my guests.
I understand that I must receive permission from Biztax to post signs, host events, or otherwise use the space in ways that may impose on the interests of the membership community.
I agree not to act in a manner that in Biztax’s sole discretion does or is likely to adversely affect the peaceful operation or enjoyment of the space, the building in which the space is located, or the building’s occupants, guests, or contractors.
4. No illegal or otherwise objectionable activity
I agree that I shall not use the space for lodging, immoral or illegal purposes. This includes use of the Internet and other services including transmission and storage of information, data or material in violation of any local law. Manufacturing, sale, gift or use of tobacco and narcotics are also prohibited.
I agree not to engage in any online or business activity of the sort that may damage or impair the functioning of the space or its services, including but not limited to overburdening or impairing any servers or networks connected to the space.
I further agree not to engage in any online or business activities of a questionable moral character that may damage or otherwise adversely affect the benefits of Membership, Biztax’s reputation, or the reputation of Members of the space, including but not limited to using the space in connection with downloading or using trademarked or copyrighted material without permission, pyramid schemes, spam, identity theft, defaming or harassing others, or uploading or downloading profane or indecent material. In cases where a judgment call remains to be made, such judgments will be made at the sole discretion of Biztax.
House Rules
1. Space & Noise
Be kind and show respect to both members and visitors. Let’s strive to use the space as a quiet and focused work environment. Keep conversations on the phone, or with other co-workers to a reasonably low volume. Ring volume on mobile phones should be turned down to a level that doesn’t disturb other members.
Do not remove or touch personal belongings of other co-workers.
Take good care of everything in the space. If you break it, you will be charged for it.
Strictly no smoking within the premises.
2. Guests
Members must be physically present with guests at all times.
Guests are allowed only in Meeting Rooms.
3. Fair use of Meeting Rooms
Meeting rooms should be booked in advance through our website.
Please take note of your purchased timeslots and enter/leave on time.
4. Cleanliness
Members are expected to keep the desks and common areas clean. For “Hot Desk (Day Pass)” & “Basic Package”, items are to be kindly removed from all desks by the end of the day.
Observe basic meal manners. Do ensure that food is disposed / stored properly.
5. Security / Network
Make sure access doors are closed at all times as security relies on it.
No illegal torrenting, piracy or downloading of prohibited materials.
If you need to download or upload something extremely large, please let others know, or do it out of office hours
6. Electricity & air-conditioning
Help to conserve energy by turning off devices that are not in use.
If you are the last person to leave, please turn off the lights.
Membership Terms
1. The membership
I understand the Membership Agreement must be completed and payment must be made before usage of Biztax’s facilities and services.
I understand that unused monthly credit points cannot be carried over.
I understand Biztax’s reserves the right to review and make changes to the fees and terms of the Membership Packages biannually. New fee structures will be communicated to members with a 30-day advance notice when applicable. Members will only be invoiced based on new charges for future invoices.
I understand that Membership is non-transferable.
2. Terms of payment
Membership is only confirmed when full payment, including a security deposit, is received before the contract start date.
The security deposit is one month of membership fees and must be paid in advance when signing up. The deposit may be used to cover damages incurred by the member or claimed in lieu of payment. It may also be used to offset the final month payment of membership fees.
A refundable deposit of $100, per access card is required when signing up.
Membership invoices will be emailed to Member’s registered email address at the end of the month. Membership fees are payable latest by 7 days from date of invoice.
Once purchased package/service period is over and no renewal is made upon expiry date, membership will be deemed terminated and member’s access will be revoked.
3. Meeting room
For non-member, you can go to our website to check availability for booking of meeting room. Booking is only confirmed when you have successfully made payment.
For package members, credit points can be used for booking of meeting rooms. Meeting room usage is only by appointment and based on availability. Meeting room can only accommodate up to 6 people
4. Usage of scanner/printer
Each member has their own password and scanner/printer can be utilized once password has been keyed in. Each member also has their own meter reading and printing cost is charged as per metre reading on monthly basis.
5. Termination of membership
If member would like to terminate membership, member will have to give 30 days’ notice in writing by email. This will be effective upon receipt of our email acknowledgement.
Termination does not discharge obligations and liabilities accrued under the Membership up to the date of its termination. This includes membership fees, printing charges,etc.
In the event that your Membership has to be terminated by circumstances beyond the control of Biztax, you will receive notification of the termination at least 3 months prior to the effective date. Biztax will not be held liable for any losses, expenses or damages incurred as a result of these terminations.
If Members have received any discounts, early termination within the contract period will result in the discount being voided. Members will have to pay in full the amount of discount received for the completed contract period.
6. Refunds
No refunds will be given if the membership has already commenced for that month.
Any prepayment made for subsequent months will be refunded.
For termination of membership, refund of 1 month deposit will be given upon final inspection of workspace and with all Biztax property returned.
Security deposit will not be refunded in the event of 30 days short notice for termination of membership.
7. Indemnification and limited liability
I understand that if someone or something at The Space gets hurt or damaged as a result of my negligence, I am responsible to pay for that injury or damage if my insurance provider does not.
In no event shall Biztax, or its agents, employees, members, shareholders, or guests be liable for any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever, including but not limited to damages for: loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty, negligence, and any other pecuniary or other loss whatsoever, arising out of or in any way related to the participation in or inability to participate in or use of The Space or its Services, the provision of or failure to provide Services, or otherwise under or in connection with any provision of this agreement.
I AGREE NOT TO HOLD BIZTAX, OR ITS EMPLOYEES OR AGENTS RESPONSIBLE for the loss, theft, or damage of Members’ personal belongings including but not limited to laptop computers, cell phones, clothing, bags, wallets, or books. All items left on premises are done at the sole risk of the owner.
Biztax, will not carry Liability and Personal Property insurance for property belonging to Biztax, and The Space. As a Member, it is strongly suggested that you carry your own liability and personal property insurance policy to cover your own property and to protect yourself against damage to Biztax, The Space, or other Members’ personal belongings.
8. Disclaimer of warranties
To the maximum extent permitted by applicable law, Biztax, provides the services “as is” and with all faults, and hereby disclaim with respect to the services all
warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) warranties, duties or conditions of or related to: merchantability, fitness for a particular purpose, lack of viruses, accuracy or completeness of responses, results, workmanlike effort and lack of negligence.
Also, there is no warranty, duty or condition of title, quiet enjoyment, quiet possession, correspondence to description or non-infringement. The entire risk as to the quality, or arising out of participation in or the use of the services, remains with me.
9. Usage of Biztax Address
Each membership is only valid for one ACRA registered business/company entity only and it is non-transferable.
You may use the registered address of Biztax to register your company with ACRA as your “Registered Office Address or Principal Place of Business” after you have successfully subscribed the membership from our website. Successfully purchased means that your account information is correctly made and complete, and payment has been made successfully. Account creation is not complete if we request for more information.
Only Business/Company in Singapore that has successfully registered with ACRA and business/company entity remains valid throughout the subscription period, may continue to use the registered address for the sole purpose of their business on these materials (written correspondence, company letterheads, business invoices, business cards) during the subscribed period.
It is your responsibility to inform us of the registered company name and UEN in writing, if not provided upon registration, once registered with ACRA.
It is your responsibility to ensure your business is allowed to be registered using our address as we are located in a Business 2 – Light and General Industrial development. We will not be liable for any losses should your business not be allowed to register, operate or unable to obtain any licenses (e.g. recruitment firms) due to this.
It is your responsibility, to ensure your company does not cause a nuisance at our premises from any of your company staff or 3rd party addressing to your company.
We do not accept employment agencies, vehicle dealer business/companies/operators, tour agents/companies/operators to use Biztax address.
(a) Mail Collection/Distribution
- We provide receiving of normal mails services.
- Receiving or forwarding of Parcels and Registered Parcels are not included in this service.
- Clients have to ensure mails received have names labelled that are addressed to their own Company name instead of Personal Name or Biztax. We will only process mails addressed to the Company Name registered with us. Client will provide this information in our website upon purchase.
- Do note that mails received to personal name may be opened to assist identification of Company Name. We are not obligated to process mails addressed to personal name and will handle the mails based on our own discretion.
- We shall have the right to:
- Open any mails received if we are unable to identify the addressee and handle the letters at our own discretion;
- Return or properly dispose any uncollected mails of clients after 1 month from date of collection email notification or after expiration of service
b) Withdrawal/Termination
- If client would like to stop using our address before membership period is over, client will have to inform us in writing by email. Client will have to update the relevant parties and stop using our address for all client’s businesses.
- Once membership period is over and no renewal is made upon expiry date or if Client’s company is closed down or upon client/our request, Client and Biztax’s agreement will be deemed terminated. Client will have to update the relevant parties and stop using our address for all client’s businesses as their registered address in ACRA or wherever applicable immediately.
- For membership non-renewal after 14 days of expiry date, we have the right to change the registered office address to any director’s residential address via Bizfile in ACRA.
11. Final provisions
I understand that Biztax, reserves the right to update these Terms and Conditions of Membership at any time. I understand that Biztax, will attempt to contact Members to notify them of any changes within 30 days of their enactment, but I also understand that Members are ultimately responsible for periodically checking the Terms and Conditions of Membership for any changes.
In the event that any provision or portion of these Terms and Conditions of Hotdesk Membership are determined to be invalid, illegal, or unenforceable for any reason, in whole or in part, the remaining provisions shall be unaffected and shall remain in full force and effect to the fullest extent permitted by the law.
I understand that Biztax, maintains a set of House Rules and reserves the right to make changes to them at any time.
I understand that my membership may be suspended or revoked at Biztax, discretion if I, my employees or associates, have ignored repeated reminders to comply and act in accordance with these Terms and Conditions of Hotdesk Membership and/or Biztax House Rules. If my membership is revoked, I understand that Biztax will return my membership dues prepaid for subsequent months, and I agree to forfeit my membership, keys, and any other evidence of membership.
The rights and obligations not specified herein shall be governed by the laws of Singapore. Any disputes shall be settled in compliance with the Singapore law.
